      随着中国企业对外直接投资的显著增加,正确理解并有效管理企业对外投资的潜在风险变得尤为重要。现有的经济学和管理学研究路径都存在一定的缺陷,没有形成理解此类风险出现的根源及应对手段的逻辑完整的框架。以合法性的概念为核心,从“经济学—管理学”的综合路径出发,对对外投资的潜在风险进行了分析,构建了逻辑相对完整的理论框架,指出对外投资的潜在风险主要是企业外来者身份与本地合法性之间冲突的产物,本地合法性的获得可以有效帮助企业防范和应对对外直接投资中的潜在风险。此外,还总结了以往企业获得本地合法性的方法,这对企业应对对外直接投资的潜在风险具有重要的借鉴意义。

英文摘要:

      With the significant increase of Chinese enterprises' OFDI, it is particularly important to properly understand and effectively manage the potential risks of ODFI. The existing research paths of economics and management have certain flaws, and there is no logically complete framework for understanding the root causes and countermeasures of such risks. This paper takes the concept of legitimacy as the core, analyzes the potential risks of OFDI from the comprehensive path of “economics-management”, and constructs a relatively complete theoretical logical framework. This will help enterprises to clarify the sources of different potential risks and their impact path, and better cognize, understand, and manage the potential risks of OFDI. The potential risks are mainly the product of conflict between the identity of outsider status and local legitimacy. The acquisition of local legitimacy can effectively help the enterprises to prevent and deal with the potential risks of OFDI. Based on these papers, three underlying approaches leading to further research have been found. 
