      就股权变动模式的选择问题,学界有多种不同观点。虽争议已久,但共识未至。文章探讨了股权在民事权利体系中的坐标,并通过明晰股权变动模式的不同观点的逻辑思路,探寻了公司法研究和论证的一般方法。在此基础上促进不同观点之间的对话,以实现通过方法的共识达致对股权变动模式问题观点共识的目的。

英文摘要:

      Regarding patterns of equity change, there are a variety of academic viewpoints. This issue has been controversial for a long time and no consensus has been reached yet. Based on researches on the position of equity right in the system of civil rights as well as the logic clarifications in different perspectives regarding equity change pattern, the prominent objective of this paper is to explore the general methodology of research and demonstration of company law, in order to promote the interaction between different perspectives and finally reach a consensus on the issue of equity change pattern based on the consensus of methodology.
