| 董事会结构是企业的微观制度，董事会行为包括了战略行为与控制行为。以2006—2008年中国上市公司为样本，实证分析董事会结构对董事会行为的影响。回归结果发现，董事会专业性、总经理/董事两职合一、激励性、国际化程度分别与董事会战略行为显著正相关；董事会独立性、专业性、激励性分别与董事会控制行为显著正相关。研究表明，董事会结构是董事会行为的前提和基础，董事会行为是董事会结构有效作用的外在表现形式。 |

| Board structure is a companys microcosmic system, and board behaviors include strategic behavior and control behavior. The research studies the impact of board structure on board behaviors, using the data of listed companies in China during the period from 2006 to 2008. The regression results indicate that board specialization, duality of CEO and director, board incentive and board internationalization degree have significantly positive correlation with board strategic behavior respectively. Board independence, board specialization and board incentive have significantly positive correlation with board control behavior respectively. The research indicates that board structure is the premise and foundation of board behavior, then board behavior is external manifestation of effective role of board structure. |
