      一人公司的出现对传统公司法理论分别提出社团性、治理结构和有限责任问题的挑战,结合我国立法实践,为完善一人公司的立法,本文提出了完善公司法人格否认制度、建立科学合理的治理结构、加强规范实质一人公司和完善一人公司资本制度的建议。

英文摘要:

      The emergence of one-person company poses a challenge to traditional company law in corporation, governance structure and limited liability respectively. Combined with the practices of Chinese legislation, in order to make perfect the legislation on one-person company, this paper proposes to improve the "disregard of corporate personality" theory, establish the scientifically reasonable governance structure, strengthen the standardization of one-person company in substance, and improve the capital system of one-person company.
